Terms of Service

1. Acceptance of Terms
By accessing or using the Hours AI service ("Service"), operated by Hours AI ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service. These Terms apply to all visitors, customers, employees added to a customer account, and other users.
2. Description of Service
Hours AI is a workforce scheduling platform that provides AI-assisted schedule generation, time-off management, shift swap tools, payroll-adjacent attendance tracking, and related operational features for shift-based businesses. Features available to your account depend on your subscription plan and configuration.
3. Account Registration
To use the Service you must register for an account. You agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information.
- Maintain the security of your password and accept responsibility for activity that occurs under your account.
- Notify us immediately of any unauthorized access or security breach.
- Be solely responsible for the conduct of employees and end-users you invite or grant access to your account.
4. Subscription and Billing
The Service is offered on a metered subscription basis at $2.75 per active employee per month, billed monthly through our payment processor. New accounts receive a 60-day free trial. A valid payment method is required to start the trial; you will not be charged during the trial period and may cancel at any time before it ends to avoid being billed.
- An "active employee" is any employee with active status in your account during the billing period.
- Fees are non-refundable except where required by law.
- We may change pricing with reasonable advance notice. Pricing changes do not apply to a billing period already paid for.
- Failure to pay may result in suspension or termination of access.
5. User Conduct
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Upload or transmit malicious code, harmful content, or unsolicited communications.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Reverse engineer, decompile, or extract source code except as permitted by applicable law.
- Use the Service to develop a competing product or to circumvent usage limits.

6. Intellectual Property
The Service, including all software, designs, text, graphics, and trademarks, is owned by Hours AI or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term of your subscription. You retain ownership of the data you upload to the Service ("Customer Data") and grant us a license to host, process, and transmit Customer Data solely as necessary to provide the Service.
7. Termination
You may cancel your subscription at any time through your billing settings. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your account for breach of these Terms, for non-payment, or as required by law. Upon termination your right to use the Service ceases. We will retain Customer Data for a reasonable period after termination to allow you to export it, after which it may be deleted in accordance with our Privacy Policy.
8. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated outputs (including schedules) are recommendations only and must be reviewed by a qualified manager. You are solely responsible for verifying that any schedule published through the Service complies with applicable labor, wage, hour, and break laws.
9. Limitation of Liability
To the maximum extent permitted by law, in no event shall Hours AI, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, revenue, goodwill, or other intangible losses, arising from or related to your use of or inability to use the Service. Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts. Nothing in this section prevents either party from seeking equitable relief in any court of competent jurisdiction.
11. Changes to Terms
We may modify these Terms from time to time. If we make a material change, we will provide reasonable advance notice by email or through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree with the revised Terms, you must stop using the Service.
